Terms & Conditions
The agreement that governs your Hospital's use of MedNote — written to be read, not just scrolled past. If anything is unclear, ask us before you rely on it.

01Acceptance & definitions
These Terms & Conditions ("Terms") are an agreement between Zyptr ("we", "us") and the hospital, clinic or other healthcare organisation that subscribes to the MedNote platform (the "Hospital", "you"). By creating a tenant, signing an order form, or using the Platform, you accept these Terms on behalf of your organisation and confirm you have authority to do so.
- "Platform" — the MedNote hospital management software, including the hospital web application, the MedNote mobile apps for doctors and patients, APIs and related services
- "Users" — the staff accounts a Hospital creates: administrators, doctors, nurses, receptionists, pharmacists, lab technicians, accountants and custom roles
- "Hospital Data" — all data recorded in the Hospital's tenant, including patient records, operational data and uploaded files
- "Plan" — the subscription tier the Hospital has purchased, including its usage limits and enabled modules
02The service
The Platform is a multi-tenant, cloud-hosted service. Each Hospital receives an isolated tenant (a dedicated database schema) and access to the modules included in its Plan — such as appointments and OPD, IPD and wards, pharmacy and inventory, laboratory, billing and insurance, HR, notifications, reports and AI insights.
Plans include usage limits (for example, the number of doctors, staff or patients) and a feature set. Limits and features are enforced in-app; we may adjust module composition over time provided the overall service is not materially degraded during a paid term.
03Mobile apps
The MedNote mobile apps (iOS and Android) are part of the Platform and are licensed to authorised users: a Hospital's staff, and — where the Hospital enables patient login — the Hospital's patients. Accounts are provisioned by the Hospital; the apps offer no public self-registration.
- Patient access (phone number + password) is available only for Hospitals that switch it on, and can be switched off by the Hospital or by us at any time
- Your use of the apps is also subject to the terms of the store you obtained them from (Apple App Store or Google Play); to the extent those store terms are mandatory for consumer use, they prevail over any conflicting provision here
- The medical disclaimer, acceptable-use, and limitation-of-liability sections of these Terms apply equally to use of the apps
04Accounts & responsibilities
The Hospital is responsible for:
- Maintaining accurate organisation details and designating at least one administrator
- Creating User accounts, assigning roles and permissions appropriate to each person's duties, and deactivating Users who leave
- Ensuring Users keep credentials confidential; actions taken under a User's account are attributed to the Hospital
- The accuracy, legality and clinical appropriateness of all data entered into the Platform
- Obtaining all patient consents required by law — including ABDM consents where ABDM features are used, and parental consent for minors
We may suspend accounts that we reasonably believe are compromised, and will notify the Hospital's administrator when we do.
05Subscriptions, fees & payment
- Fees are as stated in your Plan or order form, billed monthly or yearly in advance, exclusive of GST and other applicable taxes
- Online payments are processed through Razorpay; amounts are reconciled automatically via payment webhooks
- Trials, coupons and discounts apply only as expressly granted, and expire per their stated terms
- Fees are non-refundable except where required by law or expressly agreed; yearly plans reflect discounted pricing for the full committed term
- If an invoice remains unpaid after reasonable notice, we may suspend access until payment is made; Hospital Data is not deleted during a suspension for non-payment
- Plan upgrades take effect immediately with prorated charges; downgrades take effect from the next billing cycle
06Acceptable use
You agree not to, and not to permit Users to:
- Use the Platform for any unlawful purpose or in breach of medical-records, telemedicine, drugs-and-cosmetics or data-protection regulations applicable to you
- Access or attempt to access another Hospital's tenant or data
- Resell, sublicense or provide the Platform to third parties as a service bureau without our written agreement
- Reverse engineer, decompile or copy the Platform, or probe or test its security except through an agreed responsible-disclosure process
- Upload malware or content that infringes third-party rights
- Use automated scripts to extract data at volumes that degrade the service for others
We may suspend access immediately where continued use presents a security risk or legal exposure, giving notice as soon as practicable.
07Hospital data: ownership & processing
Hospital Data belongs to the Hospital. We claim no ownership of it. We process it only to provide the Platform, as described in our Privacy Policy, acting as a processor for patient records under the DPDP Act.
- You can export your data during the term and for a defined window after termination
- Analytics and AI insights shown to a Hospital are computed only from that Hospital's own tenant data
- We maintain tenant isolation (schema-per-tenant), encryption in transit, role-based access control and audit logging as described on our Platform page
- We use aggregated, non-identifiable operational metrics (for example, feature usage counts) to operate and improve the service
08Medical disclaimer — please read carefully
MedNote is practice-management and record-keeping software. It is not a medical device, does not provide medical advice, and is not a substitute for the professional judgement of qualified clinicians.
- Diagnosis, prescription and treatment decisions are made solely by the Hospital's clinicians, who remain fully responsible for patient care
- AI insights (patient drop-off, revenue intelligence, slot optimization, smart suggestions) and the in-app assistant are operational decision-support tools — they must not be treated as clinical recommendations
- Reminders and notifications are a convenience; the Hospital remains responsible for critical communications reaching patients
- Printed or PDF outputs (prescriptions, invoices, discharge summaries) reflect what Users entered; verifying their accuracy is the Hospital's responsibility
09ABDM responsibilities
Where the Hospital enables ABDM features (ABHA linking, HFR/HPR registration, consent management, Health Locker push), the Hospital is responsible for using them per ABDM policies — including capturing valid consents before health-information exchange and keeping facility and professional registrations accurate. We provide the technical integration, consent-artifact recording and audit logs to support this.
10Availability, support & changes
- We work to keep the Platform available around the clock, with planned maintenance announced in advance wherever possible
- Support is provided through in-app support tickets and the channels stated in your Plan
- We ship improvements continuously; features may be added, changed or replaced, and material removals during a paid term will be communicated in advance
- We may impose reasonable technical limits (such as rate limits) to protect service stability for all tenants
11Intellectual property
The Platform — its software, design, documentation and trademarks — is owned by Zyptr and its licensors. During your subscription we grant the Hospital a limited, non-exclusive, non-transferable licence to use the Platform for its internal healthcare operations. If you send us feedback or suggestions, we may use them without obligation.
12Confidentiality
Each party will protect the other's confidential information — including pricing, security details and non-public product information — with at least the care it uses for its own, and use it only to perform under these Terms. This obligation survives termination. Disclosures compelled by law are permitted with notice to the other party where lawful.
13Warranties & disclaimers
We warrant that we will provide the Platform with reasonable skill and care. Except as expressly stated, the Platform is provided "as is" and we disclaim all other warranties — express or implied — including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted or error-free.
14Limitation of liability
- Neither party is liable for indirect, incidental, special or consequential damages, or loss of profits, revenue or goodwill
- Our total aggregate liability arising out of or relating to the Platform is limited to the fees paid by the Hospital in the twelve (12) months preceding the event giving rise to the claim
- Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct
- We are not liable for clinical outcomes, or for decisions made by clinicians or staff using information recorded in the Platform
15Indemnification
The Hospital will indemnify us against third-party claims arising from Hospital Data, breach of patient-consent obligations, or use of the Platform in violation of law or these Terms. We will indemnify the Hospital against third-party claims that the Platform, as provided by us, infringes their intellectual-property rights.
16Term, suspension & termination
- The subscription runs for the term purchased and renews per your Plan unless cancelled before renewal
- Either party may terminate for material breach not cured within thirty (30) days of written notice
- On termination, access ends and the Hospital may export Hospital Data during a post-termination window we communicate (ordinarily thirty days), after which the tenant and its backups are deleted in the normal rotation
- Sections that by nature survive — confidentiality, IP, liability, indemnity, governing law — survive termination
17Governing law & disputes
These Terms are governed by the laws of India. Subject to any mandatory law to the contrary, the courts at Hyderabad, Telangana have exclusive jurisdiction over disputes arising out of or relating to these Terms, after the parties have first attempted in good faith to resolve the dispute amicably.
18Changes to these terms
We may update these Terms from time to time. Material changes will be notified to the Hospital's administrator in-app or by email at least fifteen (15) days before they take effect, and the "Last updated" date above will reflect the current version. Continued use after the effective date constitutes acceptance.
